Terms of Service

These Terms of Service ("Terms") govern your use of the products and services offered by RendereelStudio LLC ("I," "me," or "my"), including BeatSync PRO, Clareon, Prometheus Shield, and the Website at beatsyncpro.ai. By purchasing, downloading, installing, or using any Product, you agree to these Terms.

You must be at least 16 years of age to use the Products. By agreeing to these Terms, you represent that you are at least 16 years old and have the legal capacity to enter into a binding agreement.

3.2 Clareon ($60)

One-time purchase granting a perpetual license to the Clareon neural network video upscaler. Includes 1 year of free updates. Continued updates after year 1 available via paid annual renewal.

3.3 Prometheus Shield ($199)

One-time purchase granting a perpetual license to Prometheus Shield code protection software. Unlimited applications may be protected. Includes 1 year of free updates. Continued updates after year 1 available via paid annual renewal.

5. Intellectual Property

5.1 My IP

All Products, including source code, algorithms, neural network architectures, shader code, agent systems, user interfaces, documentation, and trademarks are the exclusive intellectual property of RendereelStudio LLC. Patent Pending: U.S. Pat. App. No. 63/920,132.

5.2 Your Content

You retain full ownership of all Content you create using the Products. I claim no rights over your output videos, upscaled footage, or protected applications. You are granted a full commercial license to use, distribute, and monetize your Content without restriction.

5.3 Free Clip Packs

Clip packs are provided under a royalty-free commercial license. You may use them in any project, including commercial work. You may not redistribute the raw clip files as standalone assets or include them in competing clip pack products.

THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENDEREELSTUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PRODUCTS.

My total liability for any claim arising under these Terms shall not exceed the amount you paid for the applicable Product in the 12 months preceding the claim.

You agree to indemnify and hold harmless RendereelStudio LLC from any claims, losses, or damages (including reasonable attorneys' fees) arising from your use of the Products, your Content, or your violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in the State of Oregon.

13. Modifications

I may update these Terms from time to time. Material changes will be communicated via the Website or email. Your continued use of the Products after changes take effect constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the EULA, Privacy Policy, and Refund Policy, constitute the entire agreement between you and RendereelStudio LLC regarding the Products.
